我国医改的一项重要内容，是建立现代化医院管理体制为目标的公立医院体制机制改革。建立法人治理结构为核心的适应新形势下医院管理体制势在必行，是维护公立医院公益性的重要制度保障。本文就公立医院法人治理结构的内涵进行简要阐述，对医院法人治理结构的国内外现状展开简要分析，提出了我国公立医院法人治理结构改革的一些具体措施，其中建立以理事会为核心的法人治理结构已成为公立医院改革的基本共识。

Public hospital management reform based on establishing modern hospital management system is under the way.Building corporate governance structure centered modern hospital management system is coming.The corporate governance structure reform in public hospital is one of the critical missions for innovating public hospital system and mechanism,and is an important institutional guarantee for safeguarding the commonweal of public hospital.This article elaborated the conception of corporate governance structure of public hospital,analyzed the current situation and prospects of public hospital corporate governance structure,and proposed some concrete measures of the reform.At present,an consensus which is to establish hospital management committee or council as the core of corporate governance of China’s public hospitals has been reached.
